We proudly present to our clients and friends Whitmeyer Tuffin’s annual report for 2011.
We first thank all of you for your support of our new firm. We have served over 100 clients since opening for business in August 2010. We live and breathe both the successes and setbacks of our clients, and work hard to maximize the former and minimize the latter!
We are laser-focused on the business and intellectual property needs of emerging technology companies and other entrepreneurial and middle market businesses. Among the most important of these needs is helping clients plan for and execute on the sale of their businesses. In the last year, we served as legal advisors with respect to a significant number of M&A transactions, with a total transaction value of approximately $175 million. We also represent our clients with respect to the full gamut of financing transactions, from friends and family rounds, angel/seed financings, to venture capital financings and strategic investments.
We are proud of the significant strategic licensing and alliance agreements that we consummated this year. We negotiated deals on behalf of our clients with many leading players in the technology world, including Google, Amazon, McKesson, Cisco, and IBM. We also negotiated significant customer contracts with licensees of our client’s technology with Fortune 500 companies such as Citi, Bank of America, Geico, and Lands End. Many of the license and alliance agreements we worked on were valued at seven figures.
As much as we enjoy assisting our established clients in large and complex transactions, we are equally excited to work with our start-up clients who often enter our offices with no more than a business plan and extraordinary passion. As a start-up ourselves, we strive to match our clients’ passion, provide strategic business and legal advice and leverage our connections to assist our start-up clients in transforming their business plans into thriving businesses.
In order to meet growing client needs, our firm added Amalie Tuffin as a partner and Anna Tharrington as an associate attorney in January. At that point we morphed from Whitmeyer Law Firm to Whitmeyer Tuffin.
Amalie brings a wealth of experience in Merger and Acquisitions, Tax, Investment Transactions, and General Corporate matters. Amalie recently reviewed and helped edit portions of an upcoming book on Mergers and Acquisitions to be published by J. Wiley.
Anna also adds significant general corporate and licensing experience to the firm. In addition to working with clients to form their businesses, Anna is also gaining some valuable experience with assisting our clients with IP and technology transactions, as well as other key contract issues. Coupled with her law degree, Anna earned a Masters degree in Sports Administration at UNC-Chapel Hill and is teaching an online course in Sports Law at Virginia Commonwealth University this fall.
